  • Define corporate governance, explain what corporate governance interventions are available to firms and compare and contrast the use of these mechanisms across different national settings
  • Articulate what a board is and what the different roles of the board are. Identify what the central issues in corporate board composition are, including board independence, board diversity and board structure
  • Describe what the common theories are that are used to explain executive pay, analyse and articulate central problems and issues with CEO pay and describe ways in which executive pay can be better aligned with CEO performance
  • Explain why firms adopt Corporate Governance codes, and identify two different regional approaches to corporate governance practices, and highlight what the differences are between the two
  • Identify the initiatives firms adopt or implement to become more accountable. Discuss the extent to which these initiatives are designed to instigate real change at the firm level or whether they are intended to signal to stakeholders that they are responsible businesses
  • Describe non-financial disclosure, and identify emerging social and environmental issues that impact on corporate governance. Analyse approaches to addressing these issues
  • Identify ways in which shareholders can hold firms accountable for their financial and social performance, and discuss the opportunities and challenges this poses for firms and shareholders



Synopsis: Learn about the structures, practices and frameworks that underpin corporate accountability and sustainability. Explore the tools and decision-making processes that firms rely on to promote social, environmental, and governance sustainability. Develop your ability to apply theoretical concepts to real corporate problems. The unit goes behind the headlines of corporate scandals so you can begin to understand how governance practices failed, and what can be done to improve practise.

Content: The unit will address key concepts and debates in the field of sustainable governance, with an emphasis on the underlying corporate governance mechanisms that underpin the resolution of conflict between the firm and its stakeholders. The unit will evaluate approaches to sustainable governance broadly defined in a number of settings and through theoretical prisms where appropriate.
